4. Project Agreements & Payment
4.1 Project Scope All projects begin with a written proposal. Work begins after written confirmation and receipt of the agreed deposit.
4.2 Payment Terms * A deposit (typically 50%) is required before project commencement * Remaining balance is due upon project completion before final delivery * Invoices are issued in accordance with Italian fiscal law (fattura elettronica) * Payment is due within 30 days of invoice issuance
4.3 VAT All prices are subject to Italian VAT (IVA) where applicable, in accordance with Italian fiscal regulations.
4.4 Late Payments Late payments may result in suspension of work. Interest on overdue invoices may be applied in accordance with EU Directive 2011/7/EU on late payments.
4.5 Refunds Deposits are non-refundable once work has commenced. Additional payments are assessed case-by-case.
5. Client Responsibilities
Clients agree to: * Provide required materials within agreed timelines * Provide timely feedback and approvals * Designate a primary point of contact * Notify us promptly of any scope changes Delays caused by the client may affect delivery timelines.
6. Revisions & Changes Revision
rounds are defined in the project proposal. Additional revisions may incur extra charges. Significant scope changes require a revised proposal.
7. Intellectual Property
7.1 Client materials remain the client’s property.
7.2 Upon full payment, ownership of final deliverables transfers to the client.
7.3 Third-party asset licensing is the client’s responsibility unless included in scope.
7.4 Tilki Tech reserves the right to display completed work in our portfolio unless confidentiality is requested in writing.
8. Confidentiality & NDA
Both parties agree to keep confidential any sensitive information shared during the project. For Custom Plan clients, a formal NDA is available upon request.
9. Warranties & Disclaimers
We warrant that services will be performed with reasonable skill and care. We do not warrant specific business results (sales figures, search rankings, etc.).
10. Limitation of Liability
To the extent permitted by Italian and EU law, Tilki Tech shall not be liable for indirect or consequential damages. Total liability shall not exceed the total amount paid for the specific project.
11. Consumer Rights (EU)
If you are a consumer under EU law, you retain all rights granted by EU consumer protection legislation, including Directive 2011/83/EU on consumer rights.
12. Termination Either party may terminate with written notice.
The client is responsible for payment of all work completed to date. Deposits are non-refundable.
13. Governing Law & Jurisdiction
These Terms are governed by Italian law and applicable EU regulations. Any disputes shall be subject to the exclusive jurisdiction of the courts of Potenza, Italy.

3. Client Accounts
3.1 Account Creation
A client account is created when you engage Tilki Tech for a project. Your account includes:
- Project details and agreements
- Invoice history
- Delivered assets and files
- Communication records
3.2 Account Access
Where applicable, we may provide you with access to project management tools, staging environments, or CMS platforms. You are responsible for keeping your credentials secure.
3.3 Account Termination
We reserve the right to terminate a client account in case of:
- Breach of our Terms and Conditions
- Non-payment of invoices
- Abusive or disruptive behavior toward our team
Upon termination, all outstanding invoices become immediately due.
4. Invoicing
4.1 Invoice Format
All invoices are issued in compliance with Italian fiscal law and include:
- Tilki Tech company details and Partita IVA
- Client details and VAT number (if applicable)
- Itemized description of services
- Total amount excluding and including VAT (IVA)
- Invoice date and due date
- Payment instructions
4.2 Electronic Invoicing (Fattura Elettronica)
In compliance with Italian law (D.L. 127/2015), all invoices are issued electronically via the Sistema di Interscambio (SdI). Clients based in Italy will receive invoices through the official Italian electronic invoicing system.
4.3 Invoice Currency
All invoices are issued in Euro (€).
4.4 Invoice Language
Invoices are issued in Italian and/or English, depending on client preference.
5. Payment Terms
5.1 Project Deposit
A deposit of 50% of the total project value is required before work begins. The deposit confirms your project booking and covers initial work.
5.2 Final Payment
The remaining 50% is due upon project completion, before final delivery of assets or website launch.
5.3 Payment Due Date
All invoices are due within 30 days of the invoice date, unless otherwise agreed in writing.
5.4 Accepted Payment Methods
- Bank transfer (IBAN)
- PayPal
- Other methods by prior agreement
5.5 Payment Confirmation
Please notify us at contact@tilkitech.com once payment has been made, including the invoice number and transfer reference.
6. VAT (IVA)
6.1 Italian Clients
All services are subject to Italian VAT (IVA) at the current applicable rate (currently 22%), unless an exemption applies.
6.2 EU Business Clients
If you are a VAT-registered business in another EU country, the reverse charge mechanism may apply. Please provide your valid EU VAT number when placing your order.
6.3 Non-EU Clients
Services provided to clients outside the EU may be exempt from Italian VAT. This will be assessed on a case-by-case basis.
7. Late Payments
7.1 Overdue Invoices
If payment is not received by the due date:
- We will send a payment reminder within 5 business days
- Work on active projects may be paused until payment is received
- Access to delivered assets may be suspended
7.2 Late Payment Interest
In accordance with EU Directive 2011/7/EU on combating late payment in commercial transactions, interest may be applied to overdue invoices at the European Central Bank reference rate plus 8 percentage points.
7.3 Debt Recovery
Persistent non-payment may result in referral to a debt recovery agency and/or legal action. All associated costs will be charged to the client.
8. Refunds
8.1 Deposits
Project deposits are non-refundable once work has commenced, as they cover time and resources already allocated.
8.2 Completed Work
Payments for completed and delivered work are non-refundable.
8.3 Exceptional Cases
Refund requests for exceptional circumstances (e.g. failure to deliver agreed services) will be reviewed on a case-by-case basis. Contact us at contact@tilkitech.com.
8.4 Consumer Rights
If you are a consumer under EU law, you retain your statutory rights under Directive 2011/83/EU on consumer rights, including the right of withdrawal where applicable.
9. Project Pausing & Cancellation
9.1 Pausing a Project
If you need to pause a project, please notify us in writing. Projects inactive for more than 60 days without communication may be considered abandoned. Restarting an abandoned project may incur additional fees.
9.2 Cancellation by Client
If you cancel a project:
- The deposit is non-refundable
- You are liable for payment of all work completed to the cancellation date
- A final invoice will be issued for work completed
9.3 Cancellation by Tilki Tech
We reserve the right to cancel a project in cases of persistent non-payment, abusive conduct, or circumstances beyond our control. In such cases, a pro-rata refund for undelivered work will be considered.
10. Ongoing Services & Retainers
For clients on ongoing maintenance, SEO, or marketing retainer agreements:
- Retainer fees are billed monthly in advance
- Cancellation requires 30 days written notice
- Unused hours in a retainer period do not roll over to the next month
- Retainer agreements are reviewed annually
11. Disputes
If you believe an invoice is incorrect, please contact us within 14 days of the invoice date at contact@tilkitech.com. We will review and respond within 5 business days.
Disputes that cannot be resolved amicably may be referred to the relevant Italian court or an accredited mediation body in accordance with Italian law.
